1.Agreement to these terms
These Terms of Service (“Terms”) are a contract between you and [Your Legal Entity Name, Registered Address] (“we”, “us”) covering your use of the PodReel website and service (the “Service”). By creating an account, paying for a plan or otherwise using the Service you agree to them, together with our Privacy Policy, Cookie Policy and Refund Policy. If you use the Service for an organisation, you confirm you can bind it.
2.The Service
PodReel turns audio you provide into video clips with animated waveforms, captions and templates. We may add, change or retire features. Features marked “coming soon” are not part of any plan and may change or never ship.
Transcripts, speaker labels and suggested moments are generated automatically and can contain errors. You are responsible for reviewing a clip before you publish it.
3.Accounts and eligibility
- You must be at least 18 years old, or the age of majority where you live if higher, and able to form a binding contract.
- Give accurate information and keep your login details confidential. You are responsible for activity under your account.
- Tell us promptly at support@podreel.example if you suspect unauthorised access.
- One account is for one person or organisation. Do not share credentials to avoid paying for additional access.
4.Plans and credits
1 credit = 1 rendered minute of video. Credits are only used when a clip is rendered. Uploading, transcribing and previewing never use credits.
- Each plan includes a monthly amount of credits. Unused credits do not roll over to the next billing period.
- When your credits run out, you can keep editing and previewing, but new renders pause until your plan renews or you upgrade.
- Each exported aspect ratio is a separate render and uses credits for its own length. The export screen shows the cost before you confirm.
- We may set fair-use limits (for example file size, episode length or concurrent renders) to protect the Service. Current limits are shown in the app.
5.Billing, renewal and cancellation
- Paid plans are billed in advance, monthly or annually, through Stripe. By subscribing you authorise recurring charges to your chosen payment method until you cancel.
- Plans renew automatically at the then-current price. We will give you reasonable notice before a price change takes effect on your next renewal.
- You can cancel at any time from your billing portal. Your plan then stays active until the end of the period you have paid for and will not renew.
- Prices exclude taxes such as VAT or sales tax, which are added where required.
- If a payment fails we may retry it and, if it still fails, suspend renders or the account until it is resolved.
- Fees are non-refundable except as set out in the Refund Policy or as required by law.
6.Your content and licence to us
“Your Content” means the audio, links, transcripts, images, fonts, brand assets and clips you upload, create or export with the Service.
- You own Your Content. We claim no ownership of it.
- You give us a limited, worldwide, non-exclusive licence to host, process, transcribe, display and render Your Content solely to operate and secure the Service for you, and to follow your instructions.
- We do not use Your Content to train models if you have opted out. See the Privacy Policy for details.
- You are responsible for Your Content and for what you publish with clips you create.
7.Rights to what you upload
You are responsible for holding the rights to any audio, music or voices you upload. PodReel does not clear music or third-party content for you.
You confirm that you own or have all necessary permission for your audio and any music, voices, images, fonts and other material in it, and that using it with the Service does not infringe anyone's rights or break the law. This includes permission from guests and other speakers to record, transcribe and publish their voice. Third-party platforms where you post clips have their own rules, and you must follow them.
8.Acceptable use
You agree not to:
- upload or create content that is unlawful, defamatory, hateful, sexually exploitative, or that infringes intellectual property, privacy or publicity rights;
- upload anyone's voice or likeness to deceive others, impersonate a person or create misleading synthetic content;
- try to access other users' accounts or data, or probe, scan or test the Service's security without our written permission;
- overload or disrupt the Service, or use automated means (scraping, bots) except through an API we provide;
- reverse engineer, decompile or copy the Service, except where the law allows it;
- resell or sublicense access to the Service without our written consent;
- use the Service to build a competing product or to train machine-learning models on the Service's outputs or interface.
We may remove content or suspend accounts that break these rules.
9.Copyright complaints
If you believe content on the Service infringes your copyright, email support@podreel.example with: your contact details; a description of the work; where the allegedly infringing content is; a statement that you have a good-faith belief the use is not authorised; and a statement, made in good faith and under any applicable penalty for inaccuracy, that your notice is accurate and you are authorised to act for the rights holder. We may remove the content and tell the account holder, who can send a counter-notice. We may close accounts of repeat infringers.
10.Our intellectual property
The Service, including its software, templates, design, text and branding, belongs to us or our licensors and is protected by intellectual property laws. We give you a limited, non-exclusive, non-transferable right to use the Service for your own podcast or organisation under these Terms. Templates may be used in clips you publish, but you may not resell or redistribute the templates themselves.
If you send us feedback or suggestions, we may use them without obligation to you.
11.Third-party services
The Service works with third parties such as Stripe, podcast hosts and social platforms. We do not control them and are not responsible for their services or terms. Importing an episode from a link means you confirm you may use that audio.
12.Suspension and termination
- You can stop using the Service and close your account at any time.
- We may suspend or terminate access if you materially breach these Terms, do not pay, create risk or legal exposure for us or others, or where the law requires. Where reasonable we will tell you first and let you export Your Content.
- After termination, your right to use the Service ends. We delete Your Content under the retention periods in the Privacy Policy. Sections that by their nature should survive (such as ownership, disclaimers, liability and governing law) will survive.
13.Disclaimers
To the maximum extent the law allows, the Service is provided “as is” and “as available”. We do not promise that it will be uninterrupted or error-free, that transcripts will be accurate, or that suggested moments will suit your goals or perform well on any platform. Nothing in these Terms limits rights you have under mandatory consumer law.
14.Limitation of liability
To the maximum extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.
15.Indemnity
If you are a business, you agree to defend and compensate us against third-party claims, losses and reasonable costs that arise from Your Content, your breach of these Terms or your breach of law or third-party rights. This section does not limit rights that consumers have under mandatory law.
16.Governing law and disputes
These Terms are governed by [governing law and jurisdiction]. Courts in that jurisdiction have exclusive jurisdiction, except that consumers may also bring claims in the courts of their country of residence where the law gives them that right. Before starting a formal dispute, please email us so we can try to resolve it informally.
17.Changes to these Terms
We may update these Terms. For material changes we will give notice, usually at least 30 days ahead, by email or in the app. If you keep using the Service after the change takes effect, you accept the new Terms. If you do not agree, you can cancel before then.
18.General
- Entire agreement: these Terms and the policies they refer to are the whole agreement between us about the Service.
- Severability: if a provision is unenforceable, the rest stays in force.
- No waiver: not enforcing a right is not giving it up.
- Assignment: you may not transfer your rights without our consent. We may transfer ours as part of a merger, acquisition or sale of assets.
- Force majeure: neither party is liable for delays caused by events beyond reasonable control.
- Notices: we may notify you by email or in the app. Send notices to us at support@podreel.example.
